Rand Protocol
Terms of service

Terms of service

Effective 1 October 2026. Questions: legal@randprotocol.org.

These terms are an agreement between you and Randprotocol Development LLC, a Wyoming limited liability company (30 N Gould St Ste R, Sheridan, WY 82801, USA; "we", "us"). They cover randprotocol.org and its pages, the tools that run in your browser, the public RPC at rpc.randprotocol.org and randprotocol.org/api/rpc, the faucet waitlist, and the RAND seed sale. By using any of them you accept these terms. If you do not accept them, do not use the services. The privacy policy explains how we handle personal data. Rand Wallet has its own terms, and it and the Rand node software are distributed under their own licences.

1. Who may use the services

You may use the services and take part in the seed sale only if all of these are true:

  • You are at least 18 years old and able to enter into a binding agreement.
  • You are not located in, organised in or ordinarily resident in a country or region subject to comprehensive sanctions, including Cuba, Iran, North Korea, Syria and the Crimea, Donetsk and Luhansk regions of Ukraine.
  • You are not named on, and not owned or controlled by anyone named on, a sanctions list maintained by the United States (including OFAC's Specially Designated Nationals list), the United Nations, the European Union or the United Kingdom.
  • You are acting for yourself, or for an entity you are authorised to bind, and not for anyone excluded above.
  • Taking part is lawful where you are. Complying with the laws that apply to you is your responsibility.

We may ask for information to confirm this, and we may refuse, suspend or close an account, or decline a purchase, if we believe these conditions are not met or the law requires it.

2. A protocol under development

Rand is under active development. The public network is a testnet run by the founding team. Testnet RAND has no monetary value. The testnet is regularly restarted from a new genesis, and balances, programs and transactions on an earlier chain may not carry over. The software, documentation and tools are provided for testing and research. They may contain errors, change without notice, or stop. Nothing on the site is investment, legal or tax advice.

3. Your keys are yours

Spend keys, viewing keys and wallets made with the tools on this site are created in your browser or on your device. We never receive a spend key and cannot recover one. If you lose a key, or someone else obtains it, the funds it controls may be lost, and we cannot reverse any transaction. Keep your keys, key files and passwords safe.

4. The RAND seed sale

What is offered

110,000,000 RAND at a fixed price of US$0.03 each. Buying opens on 7 October 2026 at 00:00 UTC and continues until the supply is sold. Purchases are filled in the order they are received, and the price does not change. Proceeds fund the development of Rand Protocol.

Your account

You need an account with a confirmed email address. Before your first purchase you must save a RAND address, the shielded address your RAND will be paid to, and a refund address. You are responsible for your password, for activity on your account, and for keeping your email address current. We email you whenever a payout or refund address on your account changes.

Deposits

You pay from a balance funded by deposits to the deposit addresses issued to your account. We credit only USDT on Tron, Ethereum or BNB Smart Chain, USDC on Ethereum or BNB Smart Chain, bitcoin (BTC) on the Bitcoin network and transparent zcash (ZEC) on the Zcash network, sent to your own deposit address on the chain it was issued for. USDT and USDC each count one for one as US dollars. A BTC or ZEC deposit is credited as US dollars once, when it is confirmed: at the lower of the Coinbase and Kraken prices at that moment, less 1%; that dollar amount is then fixed and does not follow the coin's price. If the two prices cannot be read, or differ by more than 2%, the deposit waits, unconfirmed, until they can. A deposit is credited after it is confirmed on its chain and reported identically by two independent data sources. Anything else sent to a deposit address, including USDC on Tron, another token, shielded ZEC sent to a shielded address, or the right token on the wrong chain, is not credited and may not be recoverable. The network fee of a deposit is paid by you, the sender, on top of the amount sent; it is not credited and not refunded.

Purchases are final

A purchase is recorded against your email address and the RAND address on your account when you make it. Once recorded, it cannot be cancelled or changed by you. We may cancel a purchase only as these terms allow (section 1, and fraud or error on our side). If we do, the dollars charged for it are returned to your refund address.

Distribution

Purchased RAND is paid to the RAND address on your account at the distribution event. You may change that address until claim addresses are locked for the payout. You are responsible for giving an address you control. We check it the way the Rand node does, but we cannot detect every mistake, and RAND paid to the address you gave cannot be recovered.

Refunds

Confirmed deposits you have not spent are returned by hand after the sale, to the refund address on your account, in the stablecoin and on the chain you chose there, one for one. Balances funded with BTC or ZEC are refunded in that stablecoin, at the dollar amount credited, not in the coin. Refund addresses are locked while refunds are paid. We send the refund, so we pay its network fee: you receive the full unspent amount. Network fees you paid on your own deposits are not refunded.

What RAND is not

Buying RAND does not give you shares, membership, profit rights, voting rights or any other interest in Randprotocol Development LLC, and no claim on the sale's proceeds. We make no promise that RAND will have any value, be listed or tradable anywhere, or be usable on any particular network by any date.

Risks

Digital assets are volatile and you may lose the entire amount you spend. The protocol, its software and its cryptography are new and have not completed an independent audit; they may have defects. Laws on digital assets are changing and may restrict or prohibit holding or using RAND where you are. Blockchains, bridges, stablecoin issuers and data providers we rely on may fail. Only spend what you can afford to lose.

Taxes

You are responsible for any tax that applies to your purchase or to holding or disposing of RAND.

5. The faucet waitlist

Grants of testnet RAND are at our discretion, may be limited and may stop. Testnet RAND has no value and is unrelated to RAND sold in the seed sale.

6. The public RPC and acceptable use

The public RPC is a free service with rate limits and a fixed set of methods, and may be changed, limited or withdrawn. You may not use the services to break the law; interfere with, overload or attack them or the network; get around rate limits, the captcha or access controls; or access accounts or data that are not yours. We may block traffic that does.

7. Content and software

The site's text, design and papers are ours unless stated otherwise. The Rand node, the wallets and other published code are licensed under the licences in their repositories, which govern that code. Nothing in these terms limits the rights those licences give you.

8. Disclaimers

The services, the software and RAND are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the services will be uninterrupted, secure or free of errors, to the fullest extent the law allows.

9. Limitation of liability

To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, digital assets or goodwill, arising from the services, the software or RAND. Our total liability for any claim is limited to the dollars you paid us in the seed sale, or US$100 if you paid nothing. Some jurisdictions do not allow these limits, so they may not all apply to you.

10. Indemnity

You will compensate us for claims, losses and costs, including reasonable legal fees, that arise from your breach of these terms or your misuse of the services.

11. Law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute arising from them or from the services will be resolved in the state or federal courts located in Wyoming, and you and we consent to their jurisdiction. Before going to court, write to us at legal@randprotocol.org; we will try to resolve it with you first.

12. Changes and ending

We may change these terms. We will post the new version here with a new effective date, and email account holders about a change that affects their purchases or refunds. A change does not alter a purchase already made. You may stop using the services at any time; sections 3, 4 (for purchases made), 8, 9, 10 and 11 continue to apply. If any part of these terms is unenforceable, the rest remains in effect. These terms and the privacy policy are the whole agreement about the services.
